Terms and Conditions
If you do not agree to these Terms, you must immediately cease all use of the Omni platform and related services. Continued access to or use of the Omni platform constitutes your unconditional acceptance of these Terms, including any modifications or updates made by Omni from time to time. Omni reserves the right, at its sole discretion, to modify, update, or revise these Terms at any time, with or without notice. It is your responsibility to review the Terms periodically; your continued use of the platform after such changes will constitute acceptance of the revised Terms.
No waiver by Omni of any provision of these Terms shall be deemed a further or continuing waiver of such provision or any other provision. Omni expressly reserves all rights not expressly granted herein.
Omni acts solely as a facilitator and technology provider and does not assume any responsibility, liability, or control over the operations, products, services, pricing, or actions of any Business. Similarly, Omni is not responsible for the actions or obligations of Clients. All transactions occur directly between Businesses and Clients and are processed via Stripe Connect or other payment processors, as applicable. Omni does not guarantee the quality, legality, safety, or suitability of any Business offerings.
Use of Omni’s platform, tools, or integrations does not create a partnership, agency, employment, or joint venture relationship between Omni and any Business or Client. Omni is not responsible for monitoring, reviewing, or enforcing compliance of content, community interactions, or third-party integrations.
Businesses acknowledge and agree that they are solely responsible for all tax obligations, accounting, reporting, and compliance associated with transactions processed through Omni, including but not limited to sales tax, income tax, and any other applicable taxes. Omni shall have no responsibility for collecting, remitting, or reporting taxes on behalf of Businesses.
Businesses are treated as independent contractors (1099-style) and not as employees, agents, partners, or representatives of Omni. Nothing in these Terms shall be construed to create an employment, partnership, joint venture, or agency relationship.
Omni makes no representation or guarantee regarding the timeliness, completeness, or success of any payment processed via the platform. Omni shall not be liable for any failed payments, chargebacks, disputes, or financial losses arising from transactions between Businesses and Clients. All financial risks, obligations, and outcomes are the sole responsibility of the respective Business or Client.
Businesses are solely responsible for handling disputes, refunds, cancellations, and any client-related issues in accordance with Omni’s policies. Omni does not verify, endorse, or guarantee the quality, safety, legality, or suitability of any Business offerings.
Businesses are responsible for any content shared on the platform, including links, third-party integrations, community platforms, or promotional materials. Omni shall not be liable for any claims, losses, damages, penalties, or expenses arising from or related to a Business’s actions, omissions, or offerings, whether such claims arise from Clients, third parties, or governmental authorities.
By using Omni, Businesses acknowledge and agree that they bear full responsibility for all aspects of their offerings, including financial, legal, and operational obligations, and Omni’s role is strictly limited to providing a technology platform.
Clients acknowledge that all subscription terms, pricing, and access to products or services are determined solely by the individual Business offering the subscription, and Omni has no control over such terms. Omni is not responsible for disputes, failed payments, refund requests, cancellations, or any other issues that may arise between Clients and Businesses.
Clients agree to use the Omni platform in compliance with all applicable laws and regulations, and to refrain from any fraudulent, abusive, or illegal activity. Omni shall have no liability for any claims, losses, damages, or disputes arising from a Client’s use of the platform or interactions with Businesses.
By using Omni, Clients accept full responsibility for all transactions, interactions, and obligations resulting from their use of the platform.
Omni provides the platform “as is” and does not guarantee uninterrupted or error-free service. Users agree that use of the platform is at their own risk.
To the fullest extent permitted by applicable law, Omni, its affiliates, officers, directors, employees, and agents shall not be liable for any direct, indirect, incidental, special, consequential, or punitive damages, including but not limited to lost profits, revenue, business opportunities, or data, arising from or related to the use of Omni, the services provided by Businesses, or any interactions between Clients and Businesses.
Monetary Cap: In any event, Omni’s total aggregate liability to a user for any claim arising out of or related to these Terms shall not exceed the total fees actually paid by the user to Omni during the six (6) months immediately preceding the event giving rise to the claim.
Users acknowledge and agree that this limitation of liability represents a reasonable allocation of risk, considering the fees paid for the platform and the nature of the services provided. The existence of one or more claims shall not enlarge or reset this cap.
This limitation applies regardless of the theory of liability, whether in contract, tort, negligence, strict liability, or otherwise, and even if Omni has been advised of the possibility of such damages. Omni’s role is strictly as a platform provider facilitating transactions via Stripe Connect; all obligations, disputes, and claims related to products, services, or subscription transactions are the responsibility of the respective Business or Client.
Businesses retain all ownership rights in the content, products, and materials they upload, share, or create on the Omni platform. By using Omni, Businesses grant Omni a limited, non-exclusive, worldwide, revocable, royalty-free license to host, display, reproduce, and distribute such content solely for the purpose of providing platform services. This license does not grant Omni ownership of any Business content.
Omni is not responsible for any claims, disputes, or infringement issues related to content submitted by Businesses. Businesses represent and warrant that their content does not infringe any intellectual property rights of third parties and agree to indemnify Omni against any claims arising from such content.
All trademarks, service marks, and logos displayed on the Omni platform that are not owned by Omni are the property of their respective owners. Nothing in these Terms grants any right, title, or interest in any intellectual property of Omni or third parties.
Termination or suspension shall not release the user from any financial obligations incurred prior to termination. Users agree that Omni shall not be liable for any damages, losses, or claims arising from termination or suspension, including but not limited to loss of data, revenue, or business opportunities.
If unresolved, all disputes shall be submitted to binding arbitration under the rules of the American Arbitration Association (AAA) or a similar recognized body in the jurisdiction where Omni operates. The arbitration shall be conducted individually and not as a class, collective, or representative action. Users expressly waive any right to participate in class-action lawsuits or class-wide arbitration against Omni.
Judgment on any arbitration award may be entered in any court of competent jurisdiction. Omni reserves the right to seek injunctive relief or other equitable remedies in a court of competent jurisdiction to protect its intellectual property or other rights.
Users agree to immediately notify Omni of any unauthorized use, suspected security breach, or unauthorized access to their account. Omni shall not be liable for any damages, losses, or unauthorized actions arising from a user’s failure to safeguard their credentials. Omni reserves the right to suspend accounts in case of security concerns.
- Their use of the Omni platform;
- Violation of these Terms or any applicable laws or regulations;
- Content submitted, posted, or shared by the user;
- Any disputes with Businesses, Clients, or third parties;
- Claims of intellectual property infringement or other rights violations.
If any provision of these Terms is determined to be invalid, illegal, or unenforceable by a court of competent jurisdiction, such provision shall be modified to the minimum extent necessary to make it enforceable, and all remaining provisions shall remain in full force and effect.
Users agree that the limitations, disclaimers, and indemnification provisions survive any termination or expiration of these Terms.
- Use Omni for any unlawful, fraudulent, abusive, or malicious activity;
- Interfere with, disrupt, or compromise the integrity, security, or performance of the Omni platform or any third-party services;
- Access or attempt to access other users’ accounts, data, or private information without authorization;
- Transmit viruses, malware, or any harmful code;
- Engage in harassment, threats, or intimidation of other users;
- Violate intellectual property, privacy, or other rights of Omni or any third party;
- Use Omni to send unsolicited communications, spam, or promotional materials without proper consent.
Omni does not control, endorse, or guarantee the availability, security, reliability, accuracy, legality, or quality of any Third-Party Service. Users acknowledge and agree that Omni shall have no liability or responsibility for any Third-Party Service, and all interactions or transactions conducted through such services are at the user’s sole risk. Users must comply with all terms and policies of any Third-Party Service used in conjunction with Omni.
Users acknowledge that all risks associated with subscription services, products, financial transactions, and any other business activity conducted via Omni are borne entirely by the respective Business or Client. Omni provides the platform, tools, and services on an “as is” and “as available” basis, without guarantees of results or effectiveness.
